AWB shareholders approve Agrium proposal

AWB Limited announces that its shareholders have today approved the proposed Scheme of Arrangement under which Agrium Inc. would acquire AWB, and have also approved amendments to AWB’s constitution to remove the 10% shareholding cap and permit dividends to be paid from any sources permitted by law.
AWB will now seek Court Orders from the Supreme Court of Victoria for approval of the Scheme at a hearing scheduled for tomorrow, 17 November 2010.
If the Supreme Court of Victoria approves the Scheme, AWB proposes to lodge the Court Orders with the Australian Securities and Investments Commission and the Australian Securities Exchange so that the Scheme becomes effective on 19 November 2010.
If this occurs, AWB’s shares will be suspended from trading at the close of trading on 19 November 2010.
